Terms and Conditions for Cash Sales/Purchases



Leading Property Investments Ltd. (LPI) is a company registered in England and Wales. Reg No 11047334. 


Leading Property Investments Ltd is registered and supervised by HM Revenue & Customs for compliance with the Money Laundering Regulations 2007.


This Agreement is subject to the law of England and Wales and the parties hereto submit to the exclusive jurisdiction of the courts of England and Wales. 


Nothing in this Agreement confers or purports to confer on any third party any benefit or the right to enforce any term of this Agreement pursuant to the Contracts (Rights of Third Parties) Act 1999.


Notice of Agreement - any participation in services provided by LPI will constitute acceptance of this agreement. By accessing and using this service, you accept and agree to be bound by the terms and provision of this agreement. 



1. Definitions 


LPI - Leading Property Investments Ltd.

Client – a person or a company who seeks or uses service provided by LPI.

Seller – a property owner or a company that wishes to sell their property. 

Investor/Cash Buyer – a person or a company interested in purchasing a real estate or a commercial property.

Associates – third parties, whose services LPI may use to ask for advice and guidance that is outside of LPI’s remit of practice (e.g. financial advice); these are unrelated separate entities, regulated by own governing bodies.

Finder’s Fee Agreement – a formal signed agreement outlining the commission charged by LPI for their services. 



2. Services Provided and Exclusions


LPI will use reasonable skill and care in the provision of its services. Notwithstanding anything to the contrary contained in this Agreement and the Terms and Conditions, LPI shall not be construed as owing any greater duty than the use of reasonable skill and care in accordance with the normal standards of its profession. 


2.1 Leading Property Investments Ltd can:


2.1.1 provide information to investors on a property about purchase price, observable by bare eye condition of a property and potential estimated cost of repairs (if applicable); 


2.1.2 provide information about the high street market price of similar properties in the same location and information about properties sold in close proximity of time. Such information will be a guidance only, and should not be treated as advice;


2.1.3 offer their opinion on whether they consider a property to be a good potential for a HMO, subject to compliance and permission given by a local authority - Investor remains fully responsible for checking the compliance with HMO regulation prior to the purchase;


2.1.4 sign an agreement with a seller where property price and conditions of sale are stated; price agreed is always subject to evaluation; such evaluation will be completed by a third party, unrelated to LPI;


2.1.5 propose various options to Seller to consider, dependant on their individual circumstance and an estimated potential of the property they wish to sell;


2.1.6 provide advice on market trends and areas of growth as per information publicly available through online research, sources and news;

 

2.1.7 refer Clients at their discretion and request, to LPI's associated mortgage advisers, financial advisers, property solicitors etc, should professional advice was required;


2.1.8 send information about products provided by associates (e.g. description of services provided by a mortgage broker), this will be done only with the Client’s prior approval/request (GDPR compliant);


2.1.9 access and work in association with a wider network of property sourcers, who might be at times consulted or involved to maximise a search for a matching Investor.



2.2 LPI is a company that acts as an introducer for both Sellers and Buyers. Furthermore, LPI does not take legal responsibility for any contracts and sale exchange between the Seller and Buyer. It is the Investor’s sole responsibility to always complete their own due diligence on a property they are being introduced to, to ensure it satisfies their expectations and risk-assess their investment plan. LPI shall have no liability whether in contract or in tort, in negligence for breach of statutory duty or otherwise, for any financial losses made due to investments decision made by the Buyer. 


2.3 Although LPI has taken reasonable care that the information contained on the Website or delivered to Clients by email, is accurate at the time of publication, such information is provided “as is” for only informational purposes as of the date of publication. No representation or warranty (including liability towards third parties), expressed or implied, is made (or accepted) as to its accuracy or completeness or fitness for any purpose by LPI. Under no circumstances will LPI be liable whether in contract or in tort, in negligence, for breach of statutory duty or otherwise for any direct, indirect, incidental, special or consequential loss or damage caused by reliance on this information or for the risks inherent. Information regarding the past performance of an investment and comparables are not necessarily indicative of the future performance of that or any other investment. The value of investments may fall as well as rise, hence Investors are always required to complete their own due diligence and balance of risk assessment.


2.4 The information contained on the Website is not intended to and does not constitute an offer, solicitation, inducement, invitation or commitment to purchase service or product or to provide any recommendations on which visitors to this website should rely for financial, securities, investment or other advice or to take any decision based on such information. Visitors to the Website and Clients are encouraged to seek individual advice from their legal, financial or other advisers before making any investment or financial decision.


2.5 The Website and its components are for informational purposes only.



3 Practice and Procedures


3.1 Referral: 

Upon receiving a referral, LPI expects that the referrer will have already sought permission of the property owner to be referred to LPI. This will be asked by LPI and once confirmed, LPI will make arrangements to contact the referred Seller to discuss the details of such referral further.


3.2 Seller: 

LPI will have an initial discussion in person or over the phone with the Seller about their individual circumstance and with their permission note information about the property in question; LPI will use all details provided by Seller about the property to conduct own due diligence on the property; once completed LPI will come back to Seller with a proposal purchase price (always subject to evaluation); Seller will be required to sign terms and condition and consent to share information.


3.3 in order to proceed with a search for a matching Investor, Seller will be required to sign an agreement where terms and conditions of sale are agreed between them and LPI (an option to buy). Such agreement will provide LPI with an exclusivity to introduce Investors within the agreed period of time. Once signed, LPI will start an immediate search to identify a matching Investor. At times, LPI may involve their associates/sourcing agents in such a search to optimise best outcomes to meet deadlines expected by Seller.


3.4 Buyer:

Investors/Cash Buyers can register their interest by contacting LPI directly. By doing so, they agree for their contact details to be stored on the system and they agree to be contacted by LPI with potential purchase offers. Upon receiving full property details, Investor/Cash Buyer will be advised to conduct their own due diligence on the property. Information provided by LPI about each of the properties is a guidance only; LPI shall have no liability whether in contract or in tort, or in negligence, for breach of statutory duty or otherwise for any financial losses made due to investments decision made by Cash Buyers/Investors that arose from the purchase/investment they undertake. Proof of funds and a signed Finder’s Fee Agreement in relation to the property, in conjunction with the signed Terms and Conditions, will be required from the Buyer prior to introductions to the Seller. 


3.5 Company’s Ethos:

LPI promotes alternative choices for Sellers who, due to individual life circumstances, are unable, or do not wish to sell their properties on the high street market. All residential and commercial deals undertaken through introductions by LPI are expected to be based on mutual benefit of all parties entering such contracts.



4 Payment Policy


4.1 Investor will be required to sign a Finder’s Fee Agreement, prior to an introduction to each property of interest. 


4.2 LPI reserves their right to make decisions about their commission, based on individual nature of each case. It is at the Client’s discretion to decide whether they wish to purchase the service.


4.3 Payments are accepted via direct transfer to LPI’s account.



5 Privacy Policy 


5.1 The Website is operated by Leading Property Investments Ltd. 


5.2 Leading Property Investments Ltd takes clients privacy very seriously and asks that every client reads this privacy policy carefully as it contains important information on:

- the personal information LPI collects about its clients;

- what LPI does with the information, and

- whom the information might be shared with


5.3 LPI collects, uses and is responsible for certain personal data about Clients. LPI is regulated under the General Data Protection Regulation (GDPR), Reg no: ZA541602. 


5.4 What information is collected? - Information provided by Clients, for example when they register for information through the website contact form or during a telephone conversation with LPI.


5.5 Use of cookies. A cookie is a small text file, which is placed onto a computer (or other electronic devices) when a person uses a website. Cookies on the Website - Client can set their browser not to accept cookies however, some of the Website features may not function as a result.


5.6 LPI collects information about Clients to allow:

- provision of services for Clients;

- identifying clients and carrying out customer profiling and analysing Clients service preferences;

- if Client agrees, LPI can let them know about other products or services that may be of interest to them;

- detect and prevent fraud;

- notify Clients of any changes to services that may affect them;

- carry out security vetting; and

- improve services


5.7 Whom Clients’ information might be shared with:


LPI may disclose Clients’ personal data to:

- other companies and associates whom LPI works with, in order to provide Client with service required by them;

- with Client’s permission, LPI could referral Clients to the associates for services that are required but LPI doesn’t provide

- law enforcement agencies in connection with any investigation to help prevent unlawful activity.


5.8 If Client has previously purchased services from LPI, LPI may provide to them details of similar goods or services, or other goods and services that LPI thinks Client may be interested in.


5.9 Where Client has provided consent in advance, LPI may refer them to Associates who will use the data to provide Clients with information regarding related services they requested. Where such consent has been provided it can be withdrawn by Client at any time. Client can either do so by contacting such Associate directly or by requesting LPI to contact the Associate on Client’s behalf.


5.10 LPI will not share or disclose Client’s personal data to any party other than in accordance with this privacy policy.


5.11 Client’s data will be used for as long as it is required to provide service requested. Clients contact details will be stored on the system securely. Client can request for this data to be removed from LPI system at any time.


5.12 Keeping Clients’ data secure:


LPI will use technical measures to safeguard Client’s personal data, for example LPI stores Clients personal data on a secure server. Whilst LPI will use all reasonable efforts to safeguard Clients’ personal data, Client acknowledges that the use of the internet is not entirely secure and for this reason LPI cannot guarantee the security or integrity of the personal data that are transferred from Client or to Client via the internet. Should Client have any particular concerns about their information, they can contact LPI (see ‘How to contact LPI’ below).


5.13 What rights do Client have?


Under the GDPR Client have a number of important rights free of charge. In summary, those include rights to:

- access their personal data and to certain other supplementary information that this privacy policy is already designed to address

- require LPI to correct any mistakes in their personal data which LPI hold

- require the erasure of personal data concerning them/clients in certain situations

- receive personal data concerning them that Client has provided to LPI and have the right to transmit such data to a third party in certain situations.

- object at any time to processing of personal data concerning them for direct marketing

- object to decisions being taken by automated means which produce legal effects concerning them or similarly significantly affect them

- object in certain other situations to LPI continued processing of their personal data

- otherwise restrict LPI processing of their personal data in certain circumstances


5.14 For further information on each of those rights, including the circumstances in which they apply, see the Guidance from the UK Information Commissioner’s Office (ICO) on individuals’ rights under the GDPR.


5.15 Should Client wish to exercise any of those rights, LPI should be contacted with each request via email or phone call.

7. Disputes


LPI prides themselves in providing excellent customer service. We are very open to receive feedback and should any disputes arise, we intend to resolve them promptly to the Client’s satisfaction. Should you however wish to make a complaint, or seek further assistance, we are registered with Property Redress Scheme. 8. Disclaimer


8.1If any part of this Agreement or the Terms and Conditions is held to be invalid or unenforceable, the remaining terms will continue in full force and effect.


8.2 No action or proceedings for any breach of this Agreement whether in contract or in tort or in delict or in negligence or for breach of statutory duty or otherwise shall be commenced against LPI after the expiry of 6 years from the date that LPI finishes its services for it’s Client under the Agreement.


8.3 LPI reserves the right to change these terms and conditions from time to time as it sees fit. It is expected that all Clients read through the above document, prior to entering an agreement with LPI about provision of services. Investors who register their details with LPI are expected to check the terms and conditions for updates, to ensure they are aware of the most recent version that applies. 


8.4 LPI will require that Terms and Conditions are read and signed in conjunction with Privacy Policy and Consent to Information Sharing Form, with regards to each individual sale undertaken under the umbrella of the company (LPI).
